Terms of Service

These Terms of Service (“Terms”) govern your access to and use of SpatialPack — the web analyzer, hosted API, CLI, MCP server, and related tools (together, the “Service”), operated by Michael Montalbano (a sole proprietorship based in New York, USA, “we,” “us,” or “our”). By using the Service you agree to these Terms.
1. The Service
SpatialPack is a standards-first toolchain for analyzing and optimizing 3D assets in the glTF, GLB, and USDZ formats. It produces reports, optimized files, and commerce-readiness assessments. The Service never converts your assets into a proprietary format — output is standard glTF / GLB / USDZ.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Accounts and authentication
You can use the free analyzer without an account. Creating an account (to download optimized files, manage a subscription, or generate API keys) uses Google sign-in or an emailed magic link. You are responsible for the activity under your account and for keeping your credentials and API keys confidential. Tell us promptly at support@spatialpack.dev if you suspect unauthorized use. API keys are revocable from your dashboard.
4. Your content
You retain all rights to the 3D assets and files you upload or process (“Your Content”). You grant us a limited license to store and process Your Content only as needed to provide the Service to you — for example, to analyze, optimize, and return a file. We do not claim ownership of Your Content and do not use it to train models without your consent. How we handle Your Content is described in our Privacy Policy.
You represent that you have the rights necessary to upload and process Your Content, and that doing so does not infringe any third party’s intellectual-property or other rights.
5. Acceptable use
You agree not to:
- use the Service to violate any law or third-party rights;
- upload content you do not have the rights to process, or content that is unlawful, infringing, or malicious;
- attempt to circumvent quota limits, bot protection, signed-URL controls, or other access controls;
- reverse engineer, scrape, overload, or interfere with the Service or its infrastructure beyond what the documented APIs allow; or
- resell or sublicense the hosted Service except as we permit.
6. Plans, quotas, and billing
The free tier includes a fixed number of optimized downloads per month (currently 3). Analyzing and checking assets is not metered. Running the CLI or the MCP server on your own machine is free and unmetered and needs no account; quotas apply to the hosted web app and hosted API. Paid plans — Pro and Agency — are billed monthly through Stripe and may include a free trial. Catalog Rescue is a separate per-model service, not a subscription; its terms are in section 7 below and its billing is covered by the Refund Policy. Quotas, prices, and trial terms are described on the pricing page. Subscriptions renew automatically until canceled. Billing, renewals, cancellation, and refunds are governed by our Refund Policy.
Catalog Rescue and the Free plan both give work away, and the two are not the same allowance. Catalog Rescue repairs the first 3 models of the batch you send us — done for you, and it does not renew. The Free plan is a recurring allowance: 3 optimized GLB downloads every month, back to 3 on the 1st, for files you optimize yourself. They are separate counts, and using one does not spend the other.
We may change prices or plan features prospectively; we will give reasonable notice of material changes that affect an active subscription.
7. Catalog Rescue (per-model service)
Catalog Rescue is a done-for-you service billed per model. It is not a subscription: it does not renew, and it grants no plan tier, seat, or ongoing quota.
When money changes hands. Starting a rescue requires no payment method. The free 3 are the first 3 models of the batch you send us — how the job starts, not a monthly allowance. Nothing here resets on the 1st. Nothing is charged before you have seen real work on your own files. The first 3 models are delivered free and you owe nothing for them, whatever the result. If you then want the rest of the catalogue done, we quote that batch, you accept or decline it, and work on the paid models begins once that invoice is paid. Beyond those 3 free models, the price is $15 per model after the free 3, 10-model minimum, $12 per model at 25 or more. Declining a quote costs nothing and you keep everything already delivered. The paid batch has a 10-model minimum, which is a condition of us taking the work on rather than a charge.
What we deliver. For each model, supplied as .glb or .gltf files, we return an optimized GLB and a USDZ, together with a per-model before/after report showing the size change and the visual-fidelity comparison. We do not convert from other source formats (for example FBX, OBJ, STEP) as part of this service. Output is standard glTF / GLB and USDZ — never a proprietary format.
The 48-hour clock. The turnaround window begins when we have received your files, not when you place the order, and not when you pay. Sending additional models later does not restart it: the first receipt is the receipt. The due-by time is shown on your order page once files arrive.
What you keep. You retain all rights in the models you send and in the optimized files we return. You may use, modify, and redistribute the delivered files without restriction from us, and you keep every delivered file and every report permanently — including the free ones, and including where a refund has been issued. We do not publish, resell, or train on your models.
If something goes wrong with paid work. Undelivered paid models are refunded in full; a paid delivery that does not match what your free models showed you is refunded for the models concerned or redone, at your election, within 14 days of delivery. The full procedure is in our Refund Policy, which governs this service where it and these Terms differ.
8. Intellectual property and open-source components
The Service, including its software, documentation, and branding, is owned by Michael Montalbano and its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in our trademarks.
Parts of SpatialPack are released as open source under their own licenses (for example, the core library under FSL-1.1-ALv2, and the CLI, SDK, and MCP server under the MIT license). Your use of those components is governed by their respective license terms, which control over these Terms to the extent of any conflict for that component.
9. Third-party services
The Service relies on third-party providers to operate — including Stripe (payments), Google and Resend (authentication), and our hosting and storage providers. Your use of the Service is also subject to those providers’ terms where applicable. We are not responsible for third-party services we do not control.
10. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. SpatialPack performs automated optimization and assessment of 3D assets; while we work to preserve visual fidelity and standards conformance, we do not warrant that any output will be error-free, suitable for a particular use, or compatible with every target platform. Always review optimized assets before publishing them.
11. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or USD 100.
12. Termination
You may stop using the Service at any time and may cancel a paid plan as described in the Refund Policy. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us, other users, or third parties. On termination, the provisions that by their nature should survive (including IP, disclaimers, and limitation of liability) will survive.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes we will update the “last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
14. Governing law
These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws rules. Any disputes will be resolved in the courts located there, unless applicable law requires otherwise.
